A CEO of a small medical company receives additional compensation for all hours worked over 40 per week. The CEO is the only exempt personel to receive such compensation.... is this a problem?

Not at a federal level and I don't know of a state that would have a problem with it. Being exempt from OT doesn't mean you can't pay it and it also doesn't mean that, if you do pay it, you have to do so across the board (fairly or not).
