Deferred Compensation Policy

Does anyone have a policy regarding deferred compensation? I've been asked to develop a deferred compensation program for members of our board of directors. If I could find a policy that is specific to B of D, that would be great; but I'd love to see whatever deferred compensation policies people can send my way.
